1. About these terms

These Terms of Service (“Terms”) govern your use of the UXDesigned website (uxdesigned.com.au) and the advisory and consulting services provided by Anton Stout trading as UXDesigned (“we,” “us,” “our”), an Australian sole-trader practice.

By accessing this website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use this website or engage our services.

These Terms apply to website visitors and prospective and current clients. Where a separate written engagement agreement or Statement of Work has been signed, that agreement takes precedence over these Terms to the extent of any inconsistency.

2. Services

UXDesigned provides fractional CX/UX advisory and consulting services to growth-stage companies and product-led businesses. Services are described on the website and in any engagement documentation we provide to you.

We reserve the right to decline to provide services to any person or company at our discretion. We may update or discontinue any service offering at any time with reasonable notice.

Advisory services are provided based on the information you supply. The quality and accuracy of outputs depends in part on the information and access you provide. We are not responsible for outcomes that result from incomplete, inaccurate, or withheld information.

3. Fees and payment

Fees for engagements are agreed in writing prior to commencement and set out in a proposal, Statement of Work, or service agreement. Our standard rates are:

  • Retainer engagements: $4,000–$10,000 AUD per month, billed in advance on a monthly basis
  • Project or hourly work: $300–$450 AUD per hour, billed in arrears or as agreed
  • Audit products: as priced on the relevant page of the website at the time of purchase

Payment is due within 14 days of invoice unless otherwise agreed in writing. Overdue invoices may attract interest at the rate of 10% per annum. We reserve the right to suspend services for overdue accounts.

All fees are quoted exclusive of GST unless stated otherwise. GST will be added where applicable under Australian law.

4. Cancellation and refunds

For monthly retainer engagements, either party may terminate with 30 days' written notice. No refunds are issued for the current billing period unless we have materially failed to deliver the agreed scope.

For fixed-price audit products purchased through the website, a refund may be requested within 7 days of purchase if the deliverable has not yet been commenced. Once work has commenced, no refund is available.

Discovery calls and initial consultations that are clearly marked as complimentary on this website are provided at no charge and require no cancellation.

5. Intellectual property

All content on this website — including text, images, case studies, frameworks, methodologies, and branding — is owned by or licensed to UXDesigned and is protected by Australian and international copyright law. You may not reproduce, distribute, or create derivative works from any website content without our prior written consent.

For client engagements, intellectual property ownership is addressed in the relevant engagement agreement. Where no written agreement exists, the following defaults apply:

  • Client-specific deliverables (e.g. recommendations, audits, reports prepared solely for your business) transfer to you upon full payment of all invoices.
  • Our methodologies, frameworks, and tools remain the property of UXDesigned. We grant you a non-exclusive licence to use any such frameworks embedded in client deliverables for your internal business purposes.

We reserve the right to reference the engagement (including your company name and anonymised outcomes) in our portfolio and marketing materials, unless you request confidentiality in writing.

6. Confidentiality

We treat all information you share with us during an engagement as confidential. We will not disclose your confidential business information to third parties without your consent, except where required by law or court order.

You agree to treat any non-public methodologies, frameworks, or pricing information we share with you as confidential.

7. Limitation of liability

Our services are advisory in nature. Decisions made based on our recommendations remain your responsibility. We do not guarantee specific business outcomes, revenue improvements, or metric targets.

To the maximum extent permitted by law, our total liability to you for any claim arising from or related to our services or this website is limited to the fees paid by you to us in the three months preceding the claim.

We are not liable for any indirect, consequential, incidental, or special loss or damage, including loss of revenue, loss of profits, loss of data, or loss of business opportunity, whether or not we have been advised of the possibility of such loss.

Nothing in these Terms limits liability that cannot be excluded or limited under the Australian Consumer Law, including rights to a remedy for a major failure to comply with a consumer guarantee.

8. Website use

You may use this website for lawful purposes only. You must not attempt to gain unauthorised access to any part of the website or its underlying systems, introduce malicious code, or use automated tools to scrape or harvest content.

This website may contain links to third-party websites. We are not responsible for the content or privacy practices of those websites.

We do not warrant that this website will be uninterrupted, error-free, or free of viruses. We reserve the right to modify or discontinue the website at any time without notice.

9. Governing law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising under these Terms are subject to the exclusive jurisdiction of the courts of New South Wales, Australia.

We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent revision. Continued use of this website or our services after a change constitutes acceptance of the updated Terms.
